View Full Version : Disney buys Marvel for 4.3 billion

Walt Disney Co. (DIS) completed its acquisition of Marvel Entertainment Inc. (MVL), according to a filing with the Securities and Exchange Commission Thursday afternoon. The cash-and-stock deal was valued at about $4.3 billion, based on Disney's stock price of $32.25 a share in 4 p.m. New York Stock Exchange trading.

The announcement was expected, and followed a meeting Thursday morning at which Marvel shareholders approved the acquisition, first announced in September. Marvel investors are receiving $30 a share in cash plus about 0.745 Disney share for each Marvel share. When the deal was announced, it represented a 29% premium over Marvel's pre-announcement share price.

Thursday's filing said Marvel's stock would be removed from the New York Stock Exchange on Jan. 11.

Marvel's roster of 5,000 comic book characters, including Iron Man, Spider-Man, and the X-Men, promises to broaden Disney's portfolio of entertainment assets. Burbank, Calif.-based Disney historically has been stronger in appealing to girls than to boys, particularly as they enter their teenage years.

The tough and psychologically complex characters Marvel is known for could provide fodder for everything from theme park attractions to cable-television shows and, of course, movies.

But fully exploiting some of the best-known of Marvel's characters could be tricky for Disney, especially in the near term. That's because Marvel, based in New York, has over the years entered licensing deals that allow various Hollywood studios to make movies based on many of those characters. Generally those licenses expire after a set number of movies. But at least one such arrangement, Sony Corp.'s (SNE) right to make Spider-Man movies, essentially lasts in perpetuity, according to people familiar with its terms.

Disney, like Marvel, will receive a royalty on movies other studios make out of its new entertainment properties. But it could be some time before the full phalanx of macho Marvel heroes fully joins forces with Hannah Montana and Mickey Mouse.





Probably going to see even more superhero movies, if that's even possible..lol

Not a big fan of disney, they better not "kiddify" all the superheroes.

Only two possibilities here.

1) You'll see death of marvel characters soon(expect no better character addition now).
2) Expect "mickey mouse with wolverine" & "Galactus playing with pluto".

I also heard that Spiderman 4 is being released in 2011
and if disney has bought marvel..
That makes me extremely worried
I don't want them to mess up spiderman especially when I don't think there should be a spider man 4 in the first place

They also have Spider Man 5 planned. There was a rumor a couple months back that they were going to film 4/5 back to back and release them seperately

Yeah, I saw all three in theaters and Plan on watching the next two as well but if they screw it up...I'm gonna organize a boycott against Disney!

Heard about that too a few months ago.

yeah but this is bad if disney is in control of marvel I am afraid they are going to make spiderman 4 and spiderman 5 really bad
and honestly i thought spiderman 3 was good and they should have left the series alone

Yeah, the third movie was great, hell of a lot better than the second, I still like the first one the most. But being a fan and all, I'll still watch 4 and 5.

me too the first one was always the best and i like the third one and the second one is my least favorite

i like disney...but this is stupid.

disney = kids based

marvel = the wolverine game is rated M

somehow, i see this being extremely awkward
